Consequently, the Trust entered into the "Wastewater Treatment Plant Agreement for Operation and Maintenance and Sludee Disposal Service between - Oklahoma Citv Municioal Improvement Authority ind Protessional Services Group, Inc. ('PSG")" Paragraph 3.4 of tle Agres:ment provides PSG shall purchase the vehicles and equipment -sei forth on Exhibit B of said Asreement for Fbur Hundred Thousand Dollars and No Cents ($400,000,!0), to be paid upon delivery of appropriate documents evidencing the transfer of title. The. Release provides for relinquishment and waiver of all rights and claims to the vehicles and equipment by the TruJt, Oklahoma City and the OCMFA The Joint Resolution is by and among the Trust, Oklahoma City, and the OCMFA provides and for the transfer of title and bills of sale for the e(uipment- to be sold under the Agreement. The Joint Resolution further authorizes the City Clerk to execute all documents necessary to evidence the transfer. WIIEREAS, an agreement dated the twenty-ninth day of December, 1987, and known as the "Wastewater Treatment Plant Agreement for Operation and Maintenance and Sludge Disposal Services between Oklahoma City Municipal Improvement Authority and Professional Services Group, Inc.n (hereinafter also referred to as the 'Agreement') was executed by the aforementioned parties and The City of Oklahoma City; and WHEREAS, paragraph 3.4 of the Agreement provides that Professional Services Group, Inc. (hereinafter also referred to as 'PSG') shall purchase certain vehicles and equipment listed in Exhibit B of the Agreement (hereinafter referred to as the "Equipment") for Four Hundred Thousand Dollars and No Cents ($400,000.00), to be paid upon delivery of documents transferring title to PSG; and WHEREAS, certain of said Equipment is owned by The City of Oklahoma City (hereinafter also referred to as "Oklahoma Ciqa), the Oklahoma City Municipal Improvement Authority (hereinafter also referred to as "OCM[A") and the Oklahoma City Municipal Facilities Authority (hereinafter also referred to as "OCMFA');and is in the possession of The City of Oklahoma City. BE IT FURTHER JOINTLY RESOLVED BY THE CITY OF OKI.AI{OMA C[TY, THE OKI-AHOMA CITY MUNICIPAL IMPROVEMENT AUTI{ORITY, AND THE OKI-AHOMA CITY MUMCIPAL FACILITIES AUTI{ORITY that the title and all certificates and documentation necessary to transfer said same title to the Equipment together with any bill of sale required to evidence said transfer of the Equipment to Professional Services Croup, Inc. shall be executed by the City Clerk of rhe city of oklahoma city who is hereby authorized to execute the aforementioned documents on behalf of The City of Oklahoma City, the Oklahoma City Municipal Improvement Authority, and the Oklahoma City Municipal Facilities Authority.
