The NBA and the Hornets have subsequently sought out arena a major and other facilities in cities with the potential to accommodate Ieague basketbatl franchise on a temporary basis' Purpose fi:',J:,"',1""i"H,,:l%1"r1;ffi1T#"T:';'j?H:l fttfi:#JBt Ford Center. The Agreement may be renewed for an additional one- year term. Due t" extaordinary circumstances necessitating a substantially accelerated time schedule, a draft Use License Agreement is presented toduy for your consideration. Among the companion items on today's agenda is a Temporary Relocation Agreement between the city, ocPPA and the Hornets' regarding Together, these documents comprise the City's commitments are the-temporary relocation of the NBA Homets- Separate agreements to be negotiated with the State of Oklahoma and a Limited Liability company to assist in this effort. Agreement Summary conceming NBA Holaets This summary encompassed issues and terms of what constitutes several agreements between the City and other parties including: the New Orleans Homets; the State of Oklatroma; and a Limited Liability Company to be named and created in the State of Oklahoma- 1. Facilities a. NBA Hornets to play all regular season and post-season home games during the 2005-2006 NBA season at Ford Center except an agreed upon number of pre- season games and home games to be played elsewhere- 2. Term of Agreement; Renewal Option. a. The agreement will have an initial term covering the 2005-2006 NBA season. b. The Hornets may exercise a renewal of the agreement for one additional one-year period. 3. Practice & Training Facilities a. The City will cause suitable facilities to be made available to the Hornets in Oklahoma City or a nearby location. The City will be reimbursed for any practice and haining facility costs from Homets revenues in accordance with the terms of the agreement. b. When the arena is available and court set-up is reasonably possible and not in conflict with set-up for other events, the Ford Center will also be made available to the Honrets for practices. 4. Relocation Allowance. a. The City will provide a temporary housing for Hornets employees, including a $500,000 housing allowance. The City will be reimbursed for its housing support costs from Hornets revenues in accordance with the terms of the agreement. Homets employee housing will not be funded or provided by the City during a renewal tenn. b. The City will provide srrfEcient firmished office space for Hornets operations within walking distance of the Ford Center. The City will be reimbursed for its office support costs from Hornets revenues in accordance with the terms of the agreement. Homets office support will not be funded or provided by the City during a renewal term. 5. Capital Improvements. a. The City will acquire certain equipment and/or make certain capital improvements necessary to present NBA basketball (e.g. new basketball floor, center-court camera, etc.). b. The City will be reimbursed for its capital costs from Hornets revenues in accordance with the terms of the agreement. FINANCIAL TERMS l. Revenues a. Hornets receive game day revenues attributable to the Hornets including net revenues from ticket sales, concessions, merchandise, novelties, signage, arena parking, advertising, sponsorships, electronic media, print medi4 promotions and incremental arena-reliated revenues, if any, from additional naming rights and premium seating licenses, etc. b City retains existing advertising, naming rights, pouring rights and other revenues. 2. Expenses. L Crty pays facility operating expenses for Homets games at Ford Center. b. Homets zue responsible for its own marketing and operations expenses. c. The City witl be reimbursed for Ford Center game related operation costs from Homets revenues in accordance with the terms of the agreement. 3. Season Revenue Benchmark. a. A Hornets revenue Benchmark is set at 105% of last season's documented team local revenues (all Hornets revenue except television broadcast and other NBA revenues) for the first yem of the agreement. If the agreement is renewed for a second year, the Benchmark will be set at $40 million. b. The amount of the Benchmark will be adjusted and reduced for each Homets home game played at a location other than the Ford Center in Oklahoma City. 4. Financial Guarantee. a. If the total of gross revenues earned by the Hornets during the initial temr of the agreement is less than the Benchmarlg the City will pay the Homets an amount eaud to the deficit up to a madmum of $10 million.
